1. Agreement to Terms
By accessing and using the website and services of ChitiInfotech Pvt. Ltd. ("Chiti Infotech"), you accept and agree to be bound by these Terms and Conditions. If you do not agree, please do not use our services.
2. Services
Chiti Infotech provides custom software development, web development, mobile app development, product development, dedicated team, and testing & QA services. Specific terms for each engagement are defined in individual project contracts or service agreements.
3. Intellectual Property
Client-Owned IP
Upon full payment, clients receive full ownership of all custom code, designs, and deliverables produced specifically for their project.
Chiti Infotech IP
We retain ownership of pre-existing frameworks, libraries, tools, and methodologies used in project delivery. Clients receive a perpetual license to use these as part of their delivered product.
4. Payment Terms
- Project fees are defined in individual project proposals
- Invoices are due within 15 days of issuance unless otherwise agreed
- Late payments may incur a 1.5% monthly interest charge
- Work may be paused on significantly overdue accounts
5. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This obligation survives project completion.
6. Warranties and Disclaimers
We warrant that services will be performed professionally and in accordance with agreed specifications. We do not warrant that software will be error-free or uninterrupted. All other warranties are disclaimed to the extent permitted by law.
7. Limitation of Liability
Chiti Infotech's total liability for any claim arising from our services shall not exceed the total fees paid for the specific project giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.
8. Termination
Either party may terminate an engagement with 30 days' written notice. Client is responsible for payment of all work completed to date of termination.
9. Governing Law
These terms are governed by the laws of India. Disputes shall be resolved through binding arbitration in India.
10. Changes to Terms
We reserve the right to modify these terms at any time. Continued use of our services after changes constitutes acceptance.
